Terms of service
1. Scope
These Terms of Service apply to all contracts between Direckt GmbH ("Provider") and restaurants ("Customer") regarding use of the Direckt platform.
2. Service description
The Provider offers the Customer a SaaS solution including a dedicated ordering website and POS system. Commercial terms are agreed individually in the applicable order form or partnership agreement.
3. Contract formation
The contract is formed when the Customer registers on the platform and the Provider confirms registration.
4. Remuneration and billing
Remuneration and billing are governed by the individually agreed order form or partnership agreement. Payments may be processed via Stripe; any Stripe fees are shown separately and retained by Stripe. Remaining amounts are paid out according to the agreed payout schedule.
5. Term and termination
The contract is concluded for an indefinite term and may be terminated by either party with one month's notice to the end of a calendar month.
6. Limitation of liability
The Provider is liable only for intent and gross negligence. For slight negligence, the Provider is liable only for breach of material contractual obligations.
7. Privacy
Processing of personal data is governed by our privacy policy. The Customer undertakes to comply with data protection requirements towards its end customers.
8. Final provisions
German law applies. The place of jurisdiction for all disputes arising from this contract is Berlin.
